1. Definitions
Vendor/Seller: Any business or individual listing products or services for sale on the Platform.
Buyer/Customer: Any person purchasing products or services on the Platform.
Invoice: The digital record of payment and transaction details generated by the Platform.
Account: The registered profile enabling access to our services.
2. Eligibility
You must be at least 18 years old and legally capable of entering binding contracts.
Vendors must provide accurate business registration, tax, and payment details before listing products.
3. Account Registration & Security
Users must create an account with accurate, up-to-date information.
You are responsible for safeguarding your login credentials. Any activity under your account will be deemed your responsibility.
Busimart reserves the right to suspend or terminate accounts that violate these Terms.
4. Vendor Obligations
Vendors are solely responsible for the accuracy, legality, and quality of the products or services listed.
Vendors must comply with applicable laws (consumer protection, product safety, tax obligations, etc.).
Vendors authorize Busimart to collect payments on their behalf and issue platform-generated invoices to Buyers.
Vendors shall not list prohibited, counterfeit, or infringing products.
5. Buyer Obligations
Buyers agree to provide accurate shipping, billing, and payment details.
Buyers are responsible for reviewing product descriptions before making a purchase.
Fraudulent activities (chargebacks, false claims) are strictly prohibited.
6. Payment & Invoicing
All payments are processed through secure third-party gateways integrated into the Platform.
Upon successful payment, Busimart will generate an electronic invoice containing order details, payment confirmation, and applicable taxes (where required).
Busimart may deduct platform service fees, commissions, and applicable taxes before remitting balances to Vendors.
Busimart is not liable for delays caused by banking systems or third-party processors.
7. Fees & Commissions
Busimart may charge Vendors listing fees, transaction commissions, or subscription plans as disclosed in the Pricing Policy.
Fee structures are subject to change with prior notice.
8. Order Fulfillment & Delivery
Vendors are responsible for packaging, dispatching, and fulfilling Buyer orders.
Delivery timelines and shipping terms must be clearly stated by the Vendor.
Busimart does not guarantee product availability or delivery times.
9. Refunds, Returns & Disputes
Vendors must maintain a clear Refund & Return Policy consistent with applicable laws.
Busimart may mediate disputes but final resolution lies with the Vendor unless fraud or policy violation is proven.
10. Intellectual Property
Vendors retain rights to their listings, but grant Busimart a non-exclusive, royalty-free license to display, market, and promote products on the Platform.
Unauthorized use, reproduction, or distribution of Busimart’s trademarks, branding, or software is prohibited.
11. Limitation of Liability
The Platform is provided “as is” without warranties of any kind.
Busimart is not liable for:
Losses from transactions between Buyers and Vendors
Delayed deliveries or product defects
Indirect, incidental, or consequential damages.
12. Privacy & Data Protection
We collect and process personal data according to our Privacy Policy.
Users consent to the use of data for payment, invoicing, fraud prevention, and platform improvement.
13. Termination
Busimart may suspend or terminate accounts for breach of these Terms, illegal activities, or misuse of the Platform.
Upon termination, pending payouts will be processed in accordance with our policies, minus applicable deductions.
14. Amendments
Busimart reserves the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance.
15. Governing Law & Jurisdiction
These Terms shall be governed by the laws of Nigeria State.
Any disputes shall be subject to the exclusive jurisdiction of the courts in Nigeria.
